Terms of Service
These Terms of Service ("Agreement") form a binding contract between you (whether an individual user or a legal entity acting through its representatives, "you") and AMI Labs SAS ("the Company," "we," "us," or "our"), a simplified joint-stock company incorporated under French law with its registered office at 36 Rue de Courcelles, 75008 Paris, France. By accessing amilabshq.com or using the AMI Labs industrial equipment world-model platform (collectively, "the Service"), you confirm that you have read, understood, and agree to be bound by this Agreement.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms. If you do not accept these terms, do not use the Service.
1. Description of the Service
AMI Labs provides a software platform that connects to industrial historians and OPC-UA data sources, learns a causal world model of the customer's specific industrial equipment from its own sensor history, and provides engineers with predictive response queries before control changes are committed on the production line. The Service is deployed entirely on-premise within the customer's network environment. Raw industrial sensor data never leaves the customer's network boundary.
Access to the platform requires a valid subscription or a written Pilot Program agreement signed with the Company. These Terms govern your use of amilabshq.com and any platform features available to your account. Specific commercial terms, data handling obligations, and service-level commitments for enterprise deployments are set out in a separate Order Form or Master Services Agreement, which takes precedence over this document in case of conflict.
2. Permitted Use and Restrictions
Subject to your compliance with this Agreement and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term solely for your internal business operations.
You agree that you will not:
- reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service;
- sublicense, sell, resell, transfer, or otherwise make the Service available to third parties outside your organisation;
- remove or alter any proprietary notices, labels, or marks on the Service;
- use the Service to develop a product or service that competes with the AMI Labs platform;
- access the Service in a manner that disrupts, degrades, or overloads our systems or infrastructure;
- transmit to the Service any data that infringes third-party intellectual property rights or applicable law;
- use the Service in violation of any industrial safety standard, operating procedure, or regulation applicable to your facility.
You remain solely responsible for all control actions taken on your equipment. The Service provides predictions and probabilistic outputs intended to inform your engineering decisions; it does not automate or execute control changes. You must apply your own operational judgment and safety procedures before acting on any prediction.
3. Intellectual Property
All rights, title, and interest in and to the Service, including its software, algorithms, models, documentation, visual design, and all improvements thereto, are and remain the exclusive property of AMI Labs SAS or its licensors. Nothing in this Agreement grants you any rights in the Service except the limited license described in Section 2.
Your industrial sensor data, historian data, and any proprietary configuration inputs you provide to train your on-premise world model ("Customer Data") remain your property at all times. The Company does not acquire any ownership rights in Customer Data. Because the training pipeline operates entirely on your on-premise hardware, Customer Data is not uploaded to AMI Labs systems, and the Company does not use Customer Data to train general-purpose models or to improve the platform for other customers.
If you provide feedback, suggestions, or feature requests relating to the Service, you grant the Company a perpetual, royalty-free license to use such feedback to improve the Service without any obligation to you.
4. User Content and Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.
You represent and warrant that any information you submit through the Service is accurate, is not misleading, and does not infringe the rights of any third party. You are responsible for complying with all applicable laws in your use of the Service, including export control regulations and industrial safety standards applicable in your jurisdiction.
5. Fees, Payment and Cancellation
Subscription fees and Pilot Program fees are set out in the applicable Order Form or pricing page. Fees are payable in the currency and on the schedule stated in the Order Form. Unless otherwise stated, fees are non-refundable.
If a payment is not received by the due date, the Company may suspend access to the Service after providing 14 days' written notice. Continued non-payment may result in termination under Section 10.
You may cancel a subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of a billing period.
6. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The world models generated by the Service are probabilistic predictions derived from historical data. The Company does not warrant that predictions will be accurate, complete, or appropriate for any specific operational decision. The quality and reliability of predictions depend directly on the quality, completeness, and representativeness of the sensor history you provide. You acknowledge that no prediction-based system can guarantee outcomes and that you remain responsible for all operational decisions made using output from the Service.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF PRODUCTION, EQUIPMENT DAMAGE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- THE COMPANY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Nothing in this Agreement shall limit the Company's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under applicable French law. The Company does not seek to limit liability for damages resulting from wilful misconduct (faute dolosive) or gross negligence (faute lourde).
8. Indemnification
You agree to indemnify, defend, and hold harmless AMI Labs SAS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your breach of this Agreement, or your violation of any applicable law or regulation, including any claim arising from a control action you took based on platform output.
9. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of France, without regard to conflict-of-law principles. The parties agree that any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the courts of Paris, France.
If you are a consumer resident in a European Union member state, you may also benefit from any mandatory consumer protection provisions applicable in your country of residence that cannot be excluded by contract, including the jurisdictional protections afforded to consumers by Articles 17-19 of Regulation (EU) 1215/2012. The choice of French law and Paris jurisdiction does not deprive you of such mandatory protections; in particular, you may bring proceedings against AMI Labs SAS before the courts of your country of residence, and AMI Labs SAS may bring proceedings against you only in the courts of that country. For EU consumer disputes, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr. AMI Labs' email address for ODR purposes is [email protected].
Enterprise customers entering into a separate Master Services Agreement may agree alternative dispute resolution mechanisms in that agreement, which will take precedence over this clause.
10. Termination
Either party may terminate this Agreement and your access to the Service by providing 30 days' written notice. The Company may terminate or suspend your access immediately if you materially breach this Agreement and fail to cure such breach within 14 days of written notice, or if you become insolvent or subject to insolvency proceedings.
Upon termination: your license to use the Service ceases immediately; you must cease all use of the Service; any fees outstanding become due immediately; and provisions that by their nature should survive (including Sections 3, 6, 7, 8, 9, and this Section 10) will continue in full force.
Because AMI Labs deploys entirely on-premise, termination does not result in deletion of your industrial sensor data or your trained world models from your own infrastructure - those remain under your control.
11. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where required, notify you by email or by a notice within the platform with at least 30 days' advance notice before changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you should cancel your subscription before the effective date.
